About the Role

We are looking for an experienced General Counsel to manage all legal aspects of TRACT’s internal and external operational activity and customer engagements. The role requires someone who is able to provide a comprehensive internal legal service on corporate, competition, HR and contract law matters, as well as providing legal oversight to TRACT’s external activity and messaging with Customers, Suppliers and TRACT’s wider eco-system.

This role is somewhat unique, combining corporate law and contracts knowledge with competition, merger clearance, and corporate financing experience. The role is central to the organisation and will connect the successful candidate to all areas of the business, from the office of the CEO, through Product, Sustainability, Commercial and Engineering to the core Operations functions including HR, Infosec and IT.

Responsibilities

  • Holding the position of Chief Compliance Officer, owning and managing adherence to and the development of our compliance framework

  • Adopting the role of Competition Law advisor, ensuring the totality of the company’s  obligations are clearly understood and adhered to in all aspects of operational activity

  • Providing support and guidance to the legal aspects of investment activity, including document preparation, advice on suitable ownership models and the facilitation of any associated merger clearance activity

  • Owning the legal aspects of customer contracting and negotiations, including the content and intent of our User agreements

  • Facilitating negotiations and advising on legal matters arising from discussions with Customers and suppliers

  • Authoring and approving the necessary legal documents for the conduct of the company

  • Advising on necessary legal responsibilities and best practice corporate behaviours

  • Overseeing the company’s mandatory legal training programme

  • Drafting and updating legal documents, such as Employment, Supplier, NDA and User Agreement templates

  • Managing the administration of and overseeing the conduct and outcomes of Management Board meetings

  • Acting as liaison and controller of scope for the procurement of any external legal services including external counsel

  • Assisting the People Experience team with employment and contractor agreements and managing the associated legal responsibilities

About You 

  • 7+ years of experience in a similar role combining legal and operational activities, ideally in similar-sized tech company

  • Exposure to Dutch corporate law and managing a Dutch-based group of companies

  • Experience of working within or managing business activity under heavy competition law legislation

  • A desire to improve legal and operational processes and to stretch beyond your area of expertise

  • A proven ability to manage multiple stakeholders at the same time

  • Languages: English (must), Dutch (strong plus)
